Welcome to Investor Studio LLC. These Terms & Conditions ("Terms", "Agreement") govern your engagement with our outbound systems architecture, list building, domain registration, and SDR management retainers. By completing a transaction on our Site or submitting details to our activation portal, you agree to comply with this contract.
1. Description of Services & Outbound Retainers
We design, configure, and manage cold B2B outreach infrastructure. Our services include:
- Secondary domain acquisition, warming, and mailbox settings adjustments.
- Database compilation and verified prospect research.
- Copywriting, target campaign configurations, and scheduling bookings.
Our services are provided as B2B capacity retainers, outlined on the Pricing page. We do not guarantee a fixed closing rate, as closing contracts depends on the client's pricing model, product value, and internal sales close processes.
2. Domain Configuration & Technical Dependencies
To execute outreach safely, we register separate outbound domain names. The client acknowledges and agrees that:
- The client's internal IT department must assist in designating secondary domain TXT records (specifically SPF, DKIM, DMARC, and MX values) to configure systems accurately.
- We are not responsible for delivery drops or spam classifications resulting from the client modifying domain settings or changing DNS values without coordinate written notification.
- The client is strictly prohibited from using outbound domains to transmit bulk consumer marketing, offensive imagery, or prohibited financial product listings.
3. Payment Terms, Billing, and Retainer Cycles
All outbound capacity modules operate on a recurring pre-paid monthly or annual subscription. Setups begin immediately upon receipt of the onboarding deposit. Invoices are generated monthly on the cycle anniversary. If card processing fails, services pause after a 48-hour grace period.
4. Service Level Agreements (SLAs)
We commit to the following technical SLAs for active Growth and Enterprise modules:
- Data Veracity: We verify all campaign contacts using SMTP check logic. Bounce rates exceeding 3% on lists provided by us will be compensated with replacement records within 48 hours.
- Domain Up-Time: We monitor domain warming health indexes daily. Any outbound account falling below a 95% reputation index will be cycled out and replaced.
5. Intellectual Property & Campaign Data Ownership
Upon termination of service and full settlement of accounts, all custom researched databases, copywriting templates, and secondary outbound domain registrations are transferred to the client. Investor Studio LLC retains rights to internal configuration scripts, warming softwares, and diagnostic tool codes used to operate networks.
6. Client Indemnification
The client agrees to defend, indemnify, and hold harmless Investor Studio LLC and its employees against any lawsuits, claims, fines, or losses arising from:
- The content of outreach scripts approved by the client.
- Violations of CAN-SPAM, TCPA, or GDPR arising from client-specific requests or proprietary list inclusions.
- Product claims, trade secret infringement, or licensing defaults associated with the client's products or services.
7. Limitation of Liability
To the maximum extent permitted by law, Investor Studio LLC shall not be liable for any indirect, incidental, or consequential damages (including lost profits, brand damage, domain blocks, or operational pauses) arising out of this Agreement. Our total aggregate liability under this contract shall not exceed the total fees paid by the client during the immediately preceding 30-day billing cycle.
8. Governing Law & Jurisdiction
This Agreement shall be governed by, and construed in accordance with, the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles. Any dispute arising out of this contract shall be resolved exclusively within the state or federal courts located in Jefferson County, Kentucky.
